Summary: Gen-Probe scores fairly well on its Board of Directors and Senior Management and also on its Internal Control environment. The company needs to improve its level of disclosures in its social and environmental section.

 

Some Board members are on multiple public company boards. Gen-Probe's Corporate Governance Guidelines do not impose any restrictions on the number of public company boards that directors can serve on. Certain improvements could potentially be made in the details that the Board Audit Committee presents in its report to the shareholders. Few other deficiencies also exist on its Internal Control Environment. On the social and environmental front, the overall level of disclosures is low and needs a more detailed focus.
